Master Commercial Terms · B2B Equipment Supply

Terms & Conditions

These Terms & Conditions (“Terms”) govern access to lekevrexport.com and every quotation, order, sale and supply of goods and services made by Guangzhou Leke VR Technology Co., Ltd. (“LEKE VR”, “we”, “us”). They are written for business customers purchasing commercial VR and MR equipment for venue operation or resale — not for private consumers.

Effective date: 21 September 2026 Version 1.0 Applies to: Website use + Equipment orders Governing law: PRC

Key Points at a Glance

A plain-language orientation only. It is not a substitute for the clauses below, and the clauses prevail in the event of any inconsistency.

  • Business only. We supply trade customers for commercial operation, not consumers — consumer statutory rights do not apply to these sales.
  • Your quotation locks the specification. A contract exists once we confirm your order in writing and your deposit has cleared.
  • Standard payment. 30–50% T/T deposit on order confirmation; the balance before shipment unless your proforma invoice says otherwise.
  • Title passes on full payment, while risk passes according to the Incoterms rule quoted.
  • Warranty: 12 months from commissioning, or 14 months from shipment, whichever comes first.
  • Games are licensed, not sold. Public pay-to-play operation is included, with no per-play fee.
  • ROI, revenue and footfall figures in our marketing are illustrations, not forecasts or guarantees.
  • PRC law governs; disputes go to negotiation first, then CIETAC arbitration in Guangzhou.

1Definitions and Interpretation

1.1“Business Customer” means a company, partnership, sole trader or other organisation acquiring the Goods for commercial use, venue operation or resale, and not an individual acquiring them for personal, family or household purposes.

1.2“Goods” means the VR and MR simulators, arcade machines, free-roam arena systems, kiosks, accessories, spare parts and hardware supplied by LEKE VR.

1.3“Content” means the software, game titles, firmware, updates, media assets and digital materials pre-installed on or supplied with the Goods.

1.4“Order” means a purchase order or written instruction placed by the Customer and accepted by LEKE VR in writing, including by email or by issue of a proforma invoice.

1.5“Incoterms” means the International Commercial Terms published by the International Chamber of Commerce, 2020 edition.

1.6“Site” means the premises at which the Customer intends to install and operate the Goods.

1.7The singular includes the plural and the masculine includes the feminine and neuter. Clause headings are for convenience only and do not affect construction. A reference to a statute or convention includes any amendment or re-enactment. “Including” and “such as” are not words of limitation.

2Business Customers Only

2.1The Website and the Goods are offered exclusively to Business Customers. By submitting an enquiry or placing an Order, you confirm that you are acquiring the Goods in the course of business and not as a consumer.

2.2Because the Goods are supplied for commercial use, consumer protection legislation — including statutory cooling-off, cancellation and consumer-guarantee rights — does not apply to these sales.

2.3Where the Customer is located in a jurisdiction whose mandatory law grants non-waivable protections, nothing in these Terms excludes or limits those rights; in that case the relevant clause applies only to the maximum extent permitted.

3Acceptance of These Terms

3.1By browsing the Website, submitting an enquiry, requesting a quotation, or placing an Order, you accept and agree to be bound by these Terms.

3.2These Terms apply to the exclusion of any terms and conditions the Customer seeks to impose, whether in a purchase order, on a portal, or by any other means, unless LEKE VR accepts them expressly in writing.

3.3Where a signed sales contract, proforma invoice or approved Order confirmation expressly conflicts with these Terms, the signed document prevails for that Order only.

3.4Content on the Website is provided for information. It is not an offer capable of acceptance, and it does not constitute a binding specification, a warranty or a professional recommendation for your particular Site.

4Product Information and Availability

4.1Product descriptions, illustrations, floor plans, 3D visualisations, player counts, power ratings, dimensions and title counts published on the Website are indicative of a typical installation and may be refined, updated or improved without notice as our engineering develops.

4.2Unless otherwise stated in writing, dimensional, colour and finish tolerances of ±2% apply to manufactured hardware. Colours may vary between production batches and between screen display and delivered goods.

4.3Content libraries evolve continuously. A stated title count is the licensed library pre-installed at the date of delivery, not a fixed entitlement, and individual titles may be added, replaced or withdrawn as licences are renewed.

4.4All Goods are subject to availability and to our production schedule at the time an Order is accepted. Where a component is discontinued, we may substitute a part of equal or better specification.

4.5Photographs and video of venues, and any operating data attributed to them, relate to the specific site described. They illustrate what has been delivered in the past and are not a representation of the results your Site will achieve.

5Quotations, Pricing and Contract Formation

5.1A quotation is an invitation to treat, not an offer. Unless the quotation states otherwise, it remains valid for 30 calendar days from its date.

5.2Quotations are based on the floor area, format mix, options and destination disclosed by the Customer. Material changes to any of these may be re-quoted. Prices are exclusive of value added tax, sales tax, import duty and any other applicable levy unless expressly included.

5.3A contract is formed only when (a) LEKE VR confirms acceptance of the Order in writing, and (b) the deposit required under clause 6 has been received in cleared funds. Until both conditions are met, no obligation to supply arises on either side.

5.4Where a quotation or listing contains an obvious typographical, calculation or currency error, we may correct it before accepting the Order, and if the correction is material the Customer may withdraw without penalty.

5.5Prices are quoted in United States dollars unless stated otherwise. Bank charges levied by the sending bank are for the Customer’s account, and charges levied by intermediary or receiving banks are for ours, unless the proforma invoice states otherwise.

6Payment Terms

6.1Standard terms. A deposit of 30–50% of the order value by telegraphic transfer on order confirmation, with the balance payable before shipment. The exact split is stated on the proforma invoice.

6.2Alternative methods. An irrevocable letter of credit at sight, or a platform-secured payment route, may be agreed for larger projects. Documentary terms must be confirmed before production commences.

6.3Production is not released until the deposit clears, and shipping documents are not released until the balance clears. This applies irrespective of any lead time previously indicated.

6.4Late payment. Overdue amounts carry interest at 0.05% per day, or the maximum rate permitted by applicable law if lower. We may also suspend production, delay shipment, withhold documents and recover reasonable collection costs.

6.5Deposits. Once production or bespoke configuration has begun, the deposit is not refundable, because capacity, materials and tooling are committed on the Customer’s behalf.

6.6Time for payment is of the essence. Payment is not deemed made until the funds are received and available to us.

7Trade Terms, Title and Risk

7.1The Incoterms 2020 rule stated in the quotation applies — commonly EXW, FOB, CIF or DDP. Where no rule is stated, FOB China port applies.

7.2Risk in the Goods passes in accordance with the applicable Incoterms rule. Legal and beneficial title to the Goods remains with LEKE VR until payment has been received in full.

7.3Until title passes, the Customer holds the Goods as our bailee, keeps them identifiable, insured and in good condition, and we may require their return if payment is not made.

7.4Where import clearance, duty, tax or product registration is the Customer’s responsibility, any resulting delay, storage cost or demurrage is for the Customer’s account and does not amount to a delay by LEKE VR.

7.5The Customer is responsible for confirming that the Goods may be lawfully imported, marketed and operated in the destination territory before ordering.

8Lead Time, Delivery and Delay

8.1Lead time runs from the later of: receipt of the cleared deposit, and confirmation of the final layout, artwork, specification and configuration for the Order. Written confirmation is required; verbal changes do not start the clock.

8.2Lead times and shipping dates are good-faith estimates based on our production schedule at the time of confirmation. They are not guaranteed delivery dates unless expressly agreed in writing as such.

8.3We may deliver in instalments and invoice each instalment separately. Partial delivery of an Order does not entitle the Customer to reject the remaining instalments.

8.4Where delivery is delayed by the Customer — including delay in confirming details, providing shipping marks or documents, clearing payment, or preparing the Site — the lead time is extended accordingly, and reasonable storage and insurance costs may be charged after 14 days.

8.5Delays arising from events outside our reasonable control are dealt with under clause 16, and do not constitute breach of these Terms.

9Inspection, Testing and Acceptance

9.1Each system is powered up, functionally tested and video-recorded at our factory before packing. The Customer may request the test record, or attend a live video verification, before shipment.

9.2The Customer shall inspect the Goods on arrival and shall give written notice of any visible damage, shortage or discrepancy within 7 business days of receipt, enclosing photographs and any carrier damage report.

9.3Goods not rejected within that period are deemed accepted. Failure to inspect or to preserve the packaging may prejudice any insurance claim against the carrier.

9.4Acceptance under this clause does not affect any rights in respect of defects that were not reasonably discoverable on inspection, which are governed by clause 11.

10Site Preparation, Installation and Training

10.1The Customer shall prepare the Site before delivery, providing at its own cost: a clear floor area matching the approved layout; power that meets the published electrical specification, with correct voltage, earthing and protection; a stable network connection where required; safe access and lifting provision; and adequate lighting, ventilation and climate control.

10.2Where included in the Order, we provide remote installation guidance, on-site commissioning and staff operating training. The scope, duration and number of visits are as stated in the Order confirmation.

10.3If the Site is not ready, or access is not available, within 14 days of the mutually agreed installation date, the Customer shall bear the reasonable standby, rescheduling and re-travel costs.

10.4The Customer shall operate and maintain the Goods in accordance with the operating manual and safety instructions, keep trained staff in attendance where the manual requires it, and not modify, repair or relocate the Goods without our written consent.

11Hardware Warranty

11.1Warranty period. Twelve (12) months from the date of commissioning, or fourteen (14) months from the date of shipment, whichever occurs first, covering defects in materials and workmanship under normal commercial use.

11.2Remedy. At our option, we will repair or replace the defective hardware component, or supply a software or firmware correction. Replacement parts may be new or serviceable equivalent.

11.3Spare parts. We use reasonable endeavours to keep spare parts and key components available for a period of at least five (5) years after delivery of the Goods, subject to supplier availability.

11.4Warranty support is delivered remotely in the first instance. Where a site visit is agreed, travel, accommodation and on-site labour may be chargeable unless the defect is confirmed as a covered manufacturing fault.

11.5The Customer bears the cost of returning a claimed component to us; we bear the cost of sending a validated warranty replacement back.

The warranty does not cover

  • consumables and wear parts, including headset straps and face liners, foam, cables, connectors, batteries, filters, projector lamps and bulbs, drive belts, and cleaning materials;
  • damage from misuse, neglect, accident, vandalism, or operation beyond the rated duty cycle;
  • unauthorised modification, repair, dismantling, or use of non-approved parts, headsets or peripherals;
  • incorrect power supply, unstable or dirty electricity, lightning or power surges, poor earthing;
  • unsuitable environment, including excessive humidity, dust, smoke, heat, vibration or insect ingress;
  • normal cosmetic wear, scratches, or deterioration of finishes;
  • third-party software, network, or internet failure beyond our equipment;
  • goods used for rental between operators without our written consent, or resold without our knowledge;
  • any unit whose serial number or label has been altered, removed or defaced; and
  • loss or corruption of data, scores, accounts or leaderboard records.

11.6This warranty is personal to the original Customer, in favour of the end venue operator where the Goods are purchased for a named project, and is not transferable to a third party without our written consent.

11.7To the fullest extent permitted by applicable law, this clause sets out the Customer’s sole remedy for defective Goods, and all other warranties, conditions and representations — whether express, implied by statute, common law or trade usage — are excluded.

Please note

Water, dust and physical impact damage, and damage caused by a power supply that does not meet the published specification, are the most common causes of failure we see. They are not manufacturing defects and are not covered. Please confirm your site’s power and environment before ordering — our team will check this free of charge during the CAD review.

12Content Licence and Intellectual Property

12.1The hardware is sold. The Content is licensed, not sold, and all intellectual property rights in the Content remain with LEKE VR or its licensors.

12.2Licence granted. A non-exclusive, non-transferable, non-sub-licensable licence to operate the pre-installed Content for public, pay-to-play commercial use at the Site or Sites named in the Order, for the maximum number of concurrent players the purchased configuration permits. No per-play royalty is charged.

12.3Restrictions. The Customer shall not: copy, reproduce or distribute the Content; sub-licence, rent, resell or make the Content available separately from the Goods; reverse engineer, decompile or attempt to derive source code; remove or obscure copyright, trademark or licence notices; use the Content outside the licensed Site, or on additional machines, without our prior written consent; or use the Content in a manner that infringes third-party rights or applicable law.

12.4Updates, new titles and content expansion may be provided from time to time. Certain updates, and continued access to online features such as cloud leaderboards, may require an active support arrangement, a network connection, and third-party platform availability.

12.5All drawings, CAD layouts, 3D visualisations, engineering documents, and technical proposals issued by LEKE VR remain our intellectual property and are supplied for the Customer’s internal project planning only. They shall not be disclosed to a competitor, used to obtain competing quotations, or reproduced publicly without written consent.

12.6Where the Customer supplies logos, artwork, brand names or other materials for internal branding, configuration or display, the Customer warrants that it holds all necessary rights and indemnifies us against any third-party claim arising from their use.

12.7Third-party game titles may contain the trademarks of their respective owners. Their inclusion does not imply any endorsement, sponsorship or affiliation. Suggestions and feedback provided by the Customer may be used by us without restriction or obligation.

13Limitation of Liability

13.1To the fullest extent permitted by applicable law, LEKE VR shall not be liable for indirect, consequential, incidental, special, punitive or exemplary loss or damage, or for loss of profit, loss of revenue, loss of anticipated savings, loss of business, loss of goodwill, loss of data, business interruption, or third-party claims — whether arising in contract, tort (including negligence), statute or otherwise, and whether or not foreseeable.

13.2Our total aggregate liability arising out of or in connection with an Order, whether in contract, tort or otherwise, shall not exceed the total amount actually received by us from the Customer for the Goods giving rise to the claim.

13.3No claim may be brought more than twelve (12) months after the date on which the Customer became aware, or ought reasonably to have become aware, of the facts giving rise to it.

13.4Nothing in these Terms excludes or limits liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be excluded or limited.

13.5The Customer is responsible for its own commercial projections and business decisions. Any figures relating to revenue, daily takings, throughput, payback period, return on investment or visitor numbers published by us, or attributed to any venue, are illustrative examples drawn from specific sites. They are not forecasts, budgets, guarantees or representations of the results that will be achieved at the Customer’s Site.

13.6The Customer is solely responsible for the safe operation of the venue, for guest supervision, health and safety compliance, insurance, ticketing, pricing, staffing and compliance with all local laws applicable to operating an amusement or entertainment facility at the Site.

Important

Marketing figures are not guarantees. Where we publish operating data — for example daily takings at a reference venue — it describes that venue, at that location, under that operator’s management. Your results will depend on your location, footfall, pricing, marketing and operations.

14Confidentiality

14.1Each party shall keep confidential all non-public commercial, technical and pricing information of the other obtained in connection with a quotation or Order, including floor plans, costed equipment lists, CAD layouts, supplier terms and customer lists.

14.2This obligation does not apply to information that is or becomes public through no fault of the receiving party, was already lawfully held, is independently developed, or must be disclosed by law or to a competent authority.

14.3This clause survives for three (3) years after the completion or termination of the relevant Order.

15Compliance, Export Control and Certifications

15.1Both parties shall comply with all applicable laws relating to anti-bribery, anti-corruption, anti-money-laundering and fair competition, and shall not offer or accept any improper payment in connection with an Order.

15.2We shall not supply Goods to any person or territory subject to trade sanctions, export restrictions or embargo. The Customer warrants that it is not a sanctioned person, is not owned or controlled by one, and will not re-export the Goods contrary to applicable export control law.

15.3We provide the export documentation for the shipment. The Customer is responsible for import licensing, customs clearance, duty and tax, and for obtaining any additional local approval required in its territory — for example radio, electrical, EMC or safety certification beyond the international standards with which the Goods are supplied.

15.4Our manufacturing is managed under an ISO 9001 quality system, and the Goods are supplied with CE, FCC and RoHS compliance documentation as applicable to the model, with our factory subject to SGS audit. Local re-certification, translation and registration costs are for the Customer’s account.

16Force Majeure

16.1Neither party is liable for failure or delay in performance caused by an event beyond its reasonable control, including: natural disaster, earthquake, flood, typhoon, fire; epidemic, pandemic and government measures taken in response; war, armed conflict, civil unrest, terrorism or piracy; acts, embargoes or restrictions of any government or authority; sanctions and export-control measures; shortage or late delivery of raw materials, components, chipsets or licensed content by suppliers; failure of a key supplier; power grid failure, telecommunications or cyber incident; strike, lockout or other labour dispute; and port congestion, transport disruption or carrier failure.

16.2The affected party shall notify the other promptly and use reasonable endeavours to mitigate the effect. If the event continues for more than 90 days, either party may terminate the affected Order in writing, in which case amounts already paid for Goods not yet manufactured or delivered shall be refunded, less costs properly incurred.

16.3Force majeure does not relieve the Customer of the obligation to pay for Goods already manufactured, delivered or in transit.

17Suspension, Cancellation and Termination

17.1We may suspend performance, or terminate an Order by written notice, where the Customer: fails to pay any amount when due; commits a material breach that is not remedied within 14 days of written notice; becomes insolvent, enters administration or liquidation, or ceases to trade; is subject to sanctions; or has provided false or misleading information.

17.2Customer cancellation. Once production or bespoke configuration has commenced, the deposit is forfeited and any completed or made-to-order items are payable in full. Cancellation before production begins is subject to a reasonable administration charge for engineering and planning already performed.

17.3Termination does not affect rights accrued before it. Clauses 12, 13, 14, 18 and 20 survive termination.

18Governing Law and Dispute Resolution

18.1These Terms, and any contract formed under them, are governed by the laws of the People’s Republic of China, excluding its conflict-of-law rules.

18.2The United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply to these Terms or to any Order.

18.3Step one — negotiation. The parties shall first attempt to resolve any dispute in good faith through senior-level discussion for a period of 30 days from written notice of the dispute.

18.4Step two — arbitration. If the dispute is not resolved, it shall be referred to and finally settled by arbitration administered by the China International Economic and Trade Arbitration Commission (CIETAC), seated in Guangzhou, in accordance with its rules then in force. The tribunal shall consist of one arbitrator where the amount in dispute does not exceed USD 1,000,000, and three arbitrators otherwise. The language of the arbitration shall be English. The award shall be final and binding on both parties.

18.5Alternatively, the parties may agree in writing to submit a dispute to the exclusive jurisdiction of the competent court of Guangzhou, China.

18.6Each party bears its own legal costs unless the tribunal or court decides otherwise. Performance of the contract continues during a dispute, and the Customer shall continue to pay all undisputed amounts when due.

19Changes to These Terms

19.1We may update these Terms from time to time. The version published on this page, with its effective date, is the current version for use of the Website.

19.2An Order is governed by the version of these Terms in force at the date the contract for that Order is formed under clause 5.3, and that version continues to govern that Order even if these Terms are later amended. A signed sales contract prevails over both, to the extent of any conflict.

20General Provisions

20.1Entire agreement. These Terms, together with the quotation, Order confirmation and proforma invoice, constitute the entire agreement between the parties for the supply of the Goods and supersede all prior discussions, proposals and representations.

20.2Severability. If any provision is held invalid or unenforceable, it shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions continue in full force.

20.3Assignment. The Customer shall not assign or transfer its rights or obligations without our written consent. We may assign to an affiliate or to a successor of our business.

20.4No waiver. A failure or delay in exercising a right is not a waiver of it, and no single exercise prevents any further exercise.

20.5Notices. Notices to us shall be sent to [email protected]; notices to the Customer shall be sent to the email address or contact details stated on the Order. Email is a valid method of notice and is deemed received 24 hours after sending.

20.6Language. These Terms are concluded in English. Any translation is provided for convenience only and the English text prevails in the event of inconsistency.

20.7No third-party rights. No person who is not a party to the contract may enforce any of its terms, save that our licensors may enforce their rights in the Content.

20.8Website use. You shall not use the Website unlawfully, attempt to gain unauthorised access, introduce malicious code, or use automated tools to scrape or overload it. We may restrict access where we reasonably believe these Terms are breached.

20.9Cookies and personal data. Our handling of personal information, including data collected through enquiry and advertisement forms, is described in our Privacy Policy, which forms part of these Terms.
